Terms of Service

Welcome to Waffle! These Terms of Service ("Terms") govern your use of the Waffle app and website at heysyrup.com ("Service"), operated by Waffle ("we," "us," or "our"). By creating an account or using Waffle, you agree to these Terms. If you do not agree, please do not use the Service.

1. Waffle Is Not Financial Advice

• Syrup is an AI assistant powered by Anthropic's Claude. It is not a licensed financial advisor, accountant, or fiduciary.
• Responses from Syrup are generated by artificial intelligence and may be inaccurate, incomplete, or inappropriate for your specific situation.
• You should always consult a qualified professional before making significant financial decisions.
• We are not responsible for any financial decisions you make based on information provided by Waffle or Syrup.

2. Your Account

To use Waffle, you must create an account with a valid email address. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Notifying us promptly at [email protected] if you suspect unauthorized access.

You must be at least 13 years old to create an account.

3. User Data & Accuracy

Financial data in your account comes from you: transactions, budgets, and goals you enter, receipts you scan, and - only if you choose to connect a bank - read-only transaction data synced through Plaid. Bank connections are optional and read-only; Waffle never receives your bank login credentials and never has the ability to move money. See our Privacy Policy for details.

4. Acceptable Use

You agree to use Waffle only for its intended purpose - personal financial coaching and tracking. You may not:

• Use the Service for any unlawful purpose or to violate any laws.
• Attempt to gain unauthorized access to the Service, other accounts, or our systems.
• Reverse-engineer, decompile, or attempt to extract the source code of the Service.
• Use automated tools (bots, scrapers) to access or interact with the Service.
• Upload malicious content, malware, or any material that could harm the Service or other users.
• Abuse, harass, or attempt to manipulate the AI coach through prompt injection or other adversarial techniques.
• Resell, redistribute, or sublicense access to the Service.

5. Subscriptions, Free Trial & Billing

Waffle offers free features and a paid subscription ("Waffle Premium") that unlocks additional features such as Syrup coaching and bank sync. Current pricing is always shown in the app before you subscribe.

• Free trial: new accounts receive a 14-day free trial of premium features. No payment method is required to start the trial. When it ends, premium features lock unless you subscribe - you are never charged automatically for the trial itself.
• Billing through Apple: subscriptions are purchased through Apple's App Store and billed to your Apple account. Your purchase is also subject to Apple's terms.
• Auto-renewal: subscriptions renew automatically unless canceled at least 24 hours before the end of the current period. Manage or cancel anytime in your device's Settings → Apple Account → Subscriptions. We cannot cancel it for you, and deleting your Waffle account does not cancel an Apple subscription.
• Refunds: billing and refunds are handled by Apple under Apple's policies. Request refunds through Apple.
• Price changes: if prices change, we will provide notice as required, and changes apply no earlier than your next renewal.

Service availability

We reserve the right to:

• Modify, suspend, or discontinue any part of the Service at any time, with or without notice.
• Perform maintenance that may temporarily interrupt access.
• Introduce new features, change existing features, or remove features.

We will make reasonable efforts to notify you of significant changes, but are not obligated to do so.

6. Account Termination

By you: You may delete your account at any time through the app's settings. When you delete your account, all of your data is permanently removed from our systems.

By us: We reserve the right to suspend or terminate your account if you violate these Terms, engage in abusive behavior, or use the Service in a way that could harm us or other users. We will attempt to notify you before or at the time of termination when practicable.

7. Intellectual Property

All content, design, code, branding, and features of Waffle - including the Waffle name, Syrup name, logos, and user interface - are owned by us and are protected by intellectual property laws. You may not copy, modify, or distribute any part of the Service without our written permission.

You retain ownership of any data you enter into Waffle. By using the Service, you grant us a limited license to process your data solely for the purpose of providing the Service to you.

8. Limitation of Liability

To the fullest extent permitted by applicable law:

• The Service is provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
• We do not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components.
• In no event shall Waffle, its owners, employees, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of the Service.
• Our total aggregate liability for any claims arising from or related to the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Waffle and its owners, employees, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your use of the Service.
• Your violation of these Terms.
• Any financial decisions you make based on information provided by the Service.
• Any data you enter into the Service.

10. Governing Law & Disputes

These Terms are governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law principles. Any disputes arising from these Terms or your use of the Service shall be resolved in the state or federal courts located in Florida. You consent to the personal jurisdiction of such courts.

11. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you through the app or by email. The "Effective date" at the top of this page indicates when the Terms were last revised. Your continued use of Waffle after changes are posted constitutes your acceptance of the updated Terms. If you do not agree with the changes, you should stop using the Service and delete your account.

12. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

13. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Waffle regarding your use of the Service. They supersede any prior agreements or understandings.
